Time Warner Inc. said it had named former Harvard Law School Dean Robert C. Clark to its board in a move to strengthen corporate governance.
The addition of Clark, the first director to be appointed since the 2001 merger with America Online Inc., will expand the board to 14 members. He will be an independent director on the corporate governance and audit committees, the New York-based company said.
Clark, the dean at Harvard Law School from 1989 to this year, sits on the board of the Teachers Insurance and Annuity Assn., where he is a member of the corporate governance committee and the chairman of a new committee on internal governance.
Time Warner shares fell 9 cents to $17.53 on the NYSE.
